Foundation of a S.C.I. („société civile immobilière“)



The S.C.I. (« société cicile immobilière »), the civil real estate company, has several characteristics at its disposal which makes its foundation for private persons in the form of a „S.C.I. familiale“ appear to be beneficial. For example resulting from the circumstance that the share certificates of such a company are regarded to be variable assets the possibility to avoid conditions of the French law of succession which is found to be unfavourable, if necessary, because variable assets in the case of succession are handled according to the rights of the country in which the deceased last resided.

These questions and also others e.g. regarding fiscal arrangement alternatives should be discussed with a notary or an experienced lawyer.

Only so much to the procedure:



- Should you choose the form of the S.C.I familiale as a private citizen you can avoid the business tax.

- 2 persons (so for example both spouses) suffice for the foundation.

- The partners’ shares of the company normally comply with the proportion of the capital expenditure for the bought real estate.

- One of the persons is determined director of the S.C.I. („gérant“) who does not have to pay social insurance contributions provided that he/she does not become a salary for his/her work.

- To the costs for the foundation: The notary is paid approx. 450 to 750 € for formalities.

- The company holds an annual general meeting („assamblée générale“).

- Accounting is limited to the filling out of one form. Very easy provided that you live in the real estate yourself and you do not have earnings from leasing.

- When selling registry tax amounting to 4,8% accrues.
